Agreement to Terms

Welcome to Notepact! By downloading, accessing, or using the Notepact mobile application ("App," "Service," or "Notepact"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement between you and Notepact ("we," "our," or "us").

Eligibility

To use Notepact, you must:

• Be at least 13 years of age
• Have the legal capacity to enter into these Terms
• Not be prohibited from using the Service under applicable laws

By using Notepact, you represent and warrant that you meet these eligibility requirements.

Account Registration

Creating Your Account

To use Notepact, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately if you suspect unauthorized access to your account

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

User Content

Your Content

When you create pacts, send messages, or upload photos ("User Content") on Notepact, you:

• Retain ownership of your User Content
• Grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, reproduce, and distribute your User Content solely to operate and provide the Service
• Represent that you have all necessary rights to share your User Content
• Accept full responsibility for your User Content

Content Guidelines

You agree NOT to post User Content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or offensive
• Contains hate speech, discrimination, or promotes violence
• Infringes on intellectual property rights or privacy rights of others
• Contains sexually explicit or pornographic material
• Includes personal information of others without their consent
• Contains spam, advertising, or commercial solicitations
• Impersonates any person or entity
• Contains viruses, malware, or other harmful code
• Violates any applicable law or regulation

Content Moderation

We reserve the right, but have no obligation, to:

• Monitor User Content
• Remove or refuse to post any User Content for any reason
• Suspend or terminate accounts that violate these Terms
• Report illegal content to appropriate authorities

Pacts and Commitments

Nature of Pacts

We are not responsible for ensuring users complete their pacts or for any consequences of incomplete pacts.

Proof Photos

• Proof photos are optional features to document pact completion
• You must only upload photos you have the right to share
• Do not upload photos containing illegal content or violating others' privacy
• We reserve the right to remove inappropriate photos

Acceptable Use

You agree to use Notepact only for lawful purposes and in accordance with these Terms. You agree NOT to:

Misuse the Service

• Create fake accounts or impersonate others
• Use the App for spam, harassment, or unwanted communications
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated tools, bots, or scripts to access the Service

Harm Others

• Bully, harass, threaten, or intimidate other users
• Stalk or harm any person
• Share private or confidential information about others
• Engage in any conduct that restricts others' use of the Service

Violate Laws

• Use the App for any illegal purpose
• Violate any local, state, national, or international law
• Infringe on any intellectual property or other proprietary rights

Social Features

Friends and Connections

• Friend connections require mutual acceptance
• You may remove friends or block users at any time
• We may suggest friends based on your contacts (with your permission)
• You are responsible for the friend requests and invitations you send

Messaging

• Messages within pacts are visible to all pact participants
• Keep all communications respectful and appropriate
• We may monitor messages to ensure safety and compliance with these Terms

Intellectual Property

Our Rights

The Notepact App, including all content, features, functionality, design, and branding, is owned by us or our licensors and protected by intellectual property laws. This includes:

• Our name, logo, and trademarks
• App design and user interface
• Software code and architecture
• Any original content we create

Your License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Notepact on your personal device for your personal, non-commercial use, subject to these Terms.

You may NOT:

• Copy, modify, or distribute the App
• Reverse engineer, decompile, or disassemble the App
• Remove any copyright or proprietary notices
• Use the App for commercial purposes without our permission

Third-Party Services

Notepact uses third-party services to operate:

• Supabase: For database, authentication, and file storage
• Expo: For app infrastructure and push notifications
• Apple App Store / Google Play: For app distribution

These services have their own terms and privacy policies. We are not responsible for third-party services and recommend reviewing their terms.

Disclaimers

Service Provided "As Is"

No Guarantees

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Results from using the Service will be accurate or reliable
• The quality of the Service will meet your expectations
• Any errors will be corrected

Not Professional Advice

Notepact is a personal accountability and social commitment tool. It is NOT a substitute for:

• Professional mental health services or counseling
• Medical, therapeutic, or psychiatric treatment
• Professional life coaching or goal-setting services
• Legal or financial advice

Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold harmless Notepact and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law

Termination

By You

You may delete your account at any time through Settings > Delete Account in the App.

By Us

We may suspend or terminate your account and access to the Service immediately, without prior notice, if:

• You violate these Terms
• Your conduct harms other users, us, or third parties
• We are required to do so by law
• We discontinue the Service

Effect of Termination

Upon termination:

• Your right to access and use the App ends immediately
• We may delete your account and User Content
• Provisions that by their nature should survive termination will remain in effect

Changes to Terms

We may modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date
• For material changes, we will provide notice through the App or via email
• Continued use after changes indicates acceptance of the new Terms

If you do not agree to the updated Terms, you must stop using Notepact and delete your account.

Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Informal Resolution

Before filing any formal dispute, you agree to first contact us at support@notepact.app to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

Binding Arbitration

If informal resolution is unsuccessful, any dispute arising from these Terms or your use of Notepact shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

Exceptions: Either party may seek injunctive relief in court for intellectual property infringement. Claims eligible for small claims court may be brought there.

Class Action Waiver

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Notepact regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, riots, or government actions.

We may provide notices to you via email, in-app notifications, or posting on the App. You may contact us at support@notepact.app.
